1. Services

NexLayer IT Services Ltd provides various IT solutions. The specific scope of work, timelines, and deliverables will be outlined in individual Service Level Agreements (SLAs) or Work Orders.

2. Payments and Fees

• Currency: All quotes and invoices are issued in Nigerian Naira (NGN).
• Payment Terms: Payments are due as specified in your invoice.
• Late Payments: We reserve the right to suspend services if payments are not made within the agreed timeframe.

3. Client Obligations

You agree to provide us with the necessary access to systems, data, and personnel required for us to perform our services effectively. You are responsible for maintaining backups of your data unless “Backup Management” is specifically included in your service package.

4. Confidentiality

Both parties agree to keep all proprietary information, business secrets, and sensitive data confidential during and after the term of the agreement.

5. Limitation of Liability

To the maximum extent permitted by Nigerian law, NexLayer IT Services Ltd shall not be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising out of the use of our services.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Ogun State or Lagos State.
